Monetization Terms and Conditions

These Monetization Terms (“Monetization Terms”) govern your use of the advertising, monetization, and related developer services operated by Overwolf Ltd. (“Overwolf,” “we,” or “us”). By submitting, publishing, or operating any Application on the Overwolf platform, or by enabling or using Overwolf’s monetization services, you (“Developer”) agree to be bound by these Monetization Terms.

These Monetization Terms form part of, and are incorporated into, the Overwolf Developer Terms and Conditions (the “Developer Terms”). In the event of any conflict between these Monetization Terms and any other provision of the Developer Terms, these Monetization Terms will prevail. Capitalized terms not defined here have the meanings assigned to them in the Developer Terms.

1. Preamble. Overwolf invests substantial effort and resources to support developers’ success, including marketing initiatives, CRN and CRI programs, dedicated API and infrastructure enhancements, monetization tools, user support, product acceleration, and related efforts. This section is intended to protect the interests of both parties. It allows Overwolf to invest confidently in the Developer’s growth while providing the Developer with clarity and fairness should they choose to transition to another platform.

2. Exclusivity & Platform Commitment. Developer agrees that all Applications submitted to and published on Overwolf’s platform shall remain exclusive to Overwolf. Developer may not publish or distribute those Applications, or any variant thereof, on any other platform or distribution service without providing prior written notice to Overwolf before making any Application (or its monetized features) available on another platform. If an Application uses only Overwolf’s regular monetization services (and does not receive Overwolf acceleration, marketing, or similar support), the required notice period is six (6) months. If Overwolf has provided acceleration, marketing, or other promotional support in connection with the Application, the required notice period is twelve (12) months. This advance notice requirement allows Overwolf to plan and adjust based on the resources invested in supporting the Developer’s success. For the avoidance of doubt, the Developer may not monetize or attempt to monetize any Application outside of the Overwolf platform unless the applicable notice requirement above has been satisfied.

3. Incorporation into Developer Terms. These Monetization Terms form part of the Developer Terms. In the event of a conflict between these Monetization Terms and the Developer Terms, these Monetization Terms will prevail.
